Terms of Service

Please read these Terms carefully. They govern your use of NeoStaging and contain important provisions that limit our liability and allocate responsibility, including for real estate disclosure and MLS compliance.

1.Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “User”) and [NeoStaging Entity], a [Jurisdiction] entity (“NeoStaging”, “we”, “us”). By accessing or using the NeoStaging website, applications, API, or any related services (collectively, the “Service”), you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, each incorporated by reference. If you do not agree, you must not use the Service.

You represent that you are at least 18 years old and have the authority to enter into these Terms, on behalf of yourself or any organization you represent.

2.Description of the Service

NeoStaging provides software that uses artificial intelligence to add or modify furnishings in photographs of real property (“virtual staging”). Outputs are computer-generated visualizations. The Service is provided as a tool only; NeoStaging does not provide real estate, legal, appraisal, or professional advice of any kind.

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. AI outputs are probabilistic and may vary; we do not warrant that any particular output will be produced, will be accurate, or will be fit for any purpose.

3.User Responsibilities and Acceptable Use

You are solely responsible for your use of the Service and for all content you upload. You agree that you will:

  • own, or have all necessary rights, licenses, and permissions to upload and process every image you submit;
  • not upload images containing identifiable third parties, private information, or copyrighted material without authorization;
  • use outputs only in a lawful manner and in compliance with all applicable laws, regulations, and professional or industry rules; and
  • not use the Service to create misleading, deceptive, or fraudulent representations of property.

You are responsible for verifying the accuracy and suitability of every output before any use, publication, or distribution.

4.Real Estate Disclosure and MLS Compliance (Important)

Virtual staging and other digital alterations of property images are regulated in many jurisdictions. Laws and rules including, without limitation, the National Association of REALTORS® Code of Ethics, multiple-listing-service (MLS) rules, and state statutes (for example, California Assembly Bill 723) may require conspicuous disclosure of altered images and provision of original, unaltered photographs.

You are solely and exclusively responsible for ensuring that your use of any output complies with all such laws, rules, and disclosure obligations.

The Service can alter your photographs in several distinct ways, and the disclosure obligation is not the same for each:

  • Staging, furniture removal, and object removal add or remove contents. The property itself is not altered.
  • Sky replacement and lawn/landscaping enhancement alter the surroundings or conditions shown, but not the structure.
  • Day-to-dusk conversion changes the apparent time of day, and shows interior and exterior lighting that may not have been on when the photograph was taken. This carries the highest disclosure scrutiny of any feature we offer, and some MLSs restrict or prohibit it. Confirm your local rules before publishing a day-to-dusk image.
  • Photo enhancement (lighting, white balance, contrast, noise) is non-generative: nothing is added, removed, or altered, and it does not create a “virtually staged” image.

The Service provides features intended to assist you with disclosure:

  • An alteration record for every output, stating what was changed (for example, that furniture was digitally added or removed), the model used, the date, and a cryptographic hash of the original photograph, together with ready-to-use disclosure wording.
  • A listing-level disclosure packet summarising every alteration made to every image in a property, which you can print or export and give to your broker.
  • Retention of your original, unaltered photographs, so that they can be produced on request.
  • An optional visible “Virtually Staged” label, which you can enable in your account settings. This label is OFF by default on paid plans, meaning outputs are delivered without a visible watermark. Images generated through the free trial are always watermarked.

Because the visible label is optional and off by default, you are responsible for determining whether your MLS or jurisdiction requires a visible label on the image itself, and for enabling it or otherwise disclosing as required.

These features are provided as conveniences only. NeoStaging makes no representation or warranty that any output or alteration record, with or without such features, satisfies any legal, regulatory, MLS, or ethical requirement. You must independently confirm compliance, including obtaining any required legal advice. NeoStaging shall have no liability arising from your failure to disclose or from any claim that an output misrepresents a property.

5.AI-Generated Content Disclaimer

Outputs are generated by artificial intelligence and may contain inaccuracies, artifacts, or unintended modifications, and may differ from the actual property. NeoStaging does not review outputs for accuracy and is not responsible for any errors, omissions, or alterations in outputs. You assume all risk arising from your reliance on, or use of, any output.

The Service may use third-party AI providers to process images. Such processing is subject to the providers’ terms; you authorize this processing by using the Service.

6.Your Content, Data Retention, and Deletion

You retain ownership of the images you upload. You grant NeoStaging a limited licence to store and process them solely to provide the Service to you.

NeoStaging does not delete your images. We operate no time-based expiry, no rolling window, and no automatic clean-up. The only things that remove your content are actions you take.

  • While your subscription is active: your uploads and outputs are retained indefinitely and remain fully available in your account.
  • After cancellation: your library remains, indefinitely, in read-only form. You may browse and download everything for as long as your account exists. You cannot generate new outputs until you resubscribe. There is no expiry date, and we will not delete your library.
  • Archiving: archiving a listing hides it from your main view. It does not delete anything, and archived listings can be restored at any time.
  • Deletion on request: you may delete individual images or entire listings at any time. Deletion is honoured promptly and is not subject to any waiting period. This control is always available — including for brokerages whose own data-handling rules require deletion.
  • Closing your account stops billing and access but does not delete your library. Your work is preserved so that you can return to it.
  • Erasure of your data is a separate, explicit request. Where you ask us to erase your data — including where you exercise a statutory right to erasure — your images, outputs, and personal data are permanently destroyed after a thirty (30) day grace period. This is irreversible. Records we are required by law to keep (including tax records and alteration manifests where legally mandated) may be retained separately.

We reserve the right to remove content that violates these Terms, and to retain records where required by law or legal hold.

Billing records are retained as required for tax and accounting purposes. See the Privacy Policy for further detail.

7.Accounts, Plans, Credits, and Payment

Certain features require a paid subscription. By subscribing, you authorize us and our payment processor (Stripe) to charge your payment method on a recurring basis until you cancel. Plans include a monthly allowance of photo credits; one credit is consumed per input photo, and regenerations of that photo are included at no additional credit cost. Credit allowances and pricing are described at the point of purchase and may change prospectively.

You are responsible for keeping your account credentials secure and for all activity under your account. Subscriptions renew automatically; you may cancel at any time as described in the Refund Policy, and cancellation takes effect at the end of the then-current billing period.

8.Intellectual Property and License to Outputs

As between you and NeoStaging, and subject to your payment of applicable fees and compliance with these Terms, you receive a license to use the outputs generated from images you are entitled to use, for your lawful business purposes. You retain responsibility for the input images and warrant you have the rights to them.

The Service, including all software, models, designs, trademarks, and content other than your inputs and outputs, is owned by NeoStaging or its licensors and is protected by intellectual property laws. You may not copy, reverse engineer, resell, or create derivative works of the Service except as expressly permitted (for example, under a separate whitelabel or API agreement).

You grant NeoStaging a limited license to process your inputs solely to provide the Service and as described in the Privacy Policy.

9.Disclaimer of Warranties

The service and all outputs are provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, NeoStaging disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade.

NeoStaging does not warrant that the service will be uninterrupted, secure, error-free, or that outputs will be accurate, lawful, compliant, or fit for any purpose.

10.Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall NeoStaging, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or for any regulatory fines, penalties, or litigation costs, arising out of or related to the service or these terms, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of NeoStaging arising out of or related to the service or these terms shall not exceed the greater of (a) the amount you paid to NeoStaging for the service in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain exclusions or limitations; in such jurisdictions, the above applies to the fullest extent permitted, and nothing in these Terms limits liability that cannot be limited by law (such as for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence).

11.Indemnification

You agree to defend, indemnify, and hold harmless NeoStaging and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, judgments, fines, penalties, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service or any output; (b) your inputs; (c) your violation of these Terms or any law, regulation, MLS rule, or third-party right (including any claim that a property was misrepresented or that disclosure obligations were not met); and (d) any dispute between you and a third party. This obligation survives termination.

12.Termination

We may suspend or terminate your access at any time, with or without cause or notice, including for any violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and dispute provisions) will survive.

13.Governing Law and Dispute Resolution

These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-laws principles. To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.

14.Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where required, by additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
